Regulation Crypto Assets Plan Divides Industry Stakeholders

The comment deadline for the Securities and Exchange Commission's proposed Regulation Crypto Assets expired on October 20, exposing significant divisions over how far regulators should go in easing restrictions on cryptocurrency fundraising and investment. Published on August 21, the proposal would allow qualifying crypto projects to raise up to $5 million over four years or $75 million annually without registering their investment-contract offerings under the Securities Act.

Issuers would remain subject to disclosure requirements and federal antifraud provisions. Furthermore, the framework would establish a conditional safe harbor allowing crypto assets to cease being subject to investment contracts once issuers complete or permanently abandon promised essential managerial work and file a transition report with the SEC.

Banking Sector Raises Financial Stability and Deposit Concerns

While investment managers have pushed for broader access to digital assets, traditional financial institutions have voiced strong opposition. US banks warned that the proposed exemptions could drain deposits as investment managers seek wider exposure to digital assets.

The Independent Community Bankers of America raised broader financial stability concerns regarding the initiative. The association warned that easier crypto issuance could accelerate stablecoin adoption and divert customer deposits away from smaller financial institutions toward stablecoin issuers, exchanges, and large reserves.

Asset Managers and Exchanges Push for Clarifications

Submissions from organizations such as Bitwise, Nasdaq, and the Alternative Investment Management Association revealed competing priorities for the final regulations. Asset manager Bitwise requested that the SEC make it easier for investment firms to determine which cryptocurrencies they can hold in exchange-traded products, indexes, and private funds.

Meanwhile, traditional market operators offered conditional support. Nasdaq endorsed the framework but urged the SEC to explicitly exclude tokenized stocks, bonds, and ETF shares from the exemptions to prevent crypto platforms from gaining regulatory advantages over established securities markets.
