Tesla SpaceX Merger Discussions
Elon Musk confirmed that Tesla and SpaceX are exploring a potential combination that could unite their corporate structures and digital assets. Speaking during the SpaceX earnings call on October 20, Musk noted that special committees of independent directors have been established to evaluate the proposal. According to cryptoslate.com, Musk stated that he would not participate in negotiations due to his ownership interests in both businesses.
The proposed transaction would combine SpaceX operations in aerospace, satellite communications, and artificial intelligence with Tesla electric vehicles and robotics. Musk highlighted potential synergies in AI infrastructure, chip development, and manufacturing capabilities, including the jointly developed Terafab project. However, the independent committees have not yet agreed on transaction terms and might never reach a final deal.
Corporate Bitcoin Treasuries Under One Roof
A successful combination of the two companies would consolidate two of the largest corporate cryptocurrency treasuries in the world. Regulatory filings from June 30 show that SpaceX holds 18,712 BTC, while Tesla owns 11,509 BTC. Their combined holdings would total 30,221 BTC, valued at approximately $2,508 million based on a Bitcoin price of around $83,000.
Based on BitcoinTreasuries data from October 21, the combined entity would rank sixth among publicly traded corporate holders. The two companies bring contrasting cryptocurrency investment histories to the table. Tesla purchased $1,500 million in Bitcoin in 2021 and subsequently sold about 75% of its holdings, whereas SpaceX has maintained a position acquired for roughly $661 million.
Financial Implications and Market Outlook
The consolidation discussions coincide with heavy capital expenditure demands at SpaceX, which spent $20 billion in the third quarter, largely directed toward artificial intelligence infrastructure. These scaling commitments could influence how a merged entity manages its digital asset reserves over time. Meanwhile, Wall Street analysts are actively assessing the financial framework of a potential combination.
In a research note reported by Investing.com, JPMorgan analyst Rajat Gupta outlined that an all-stock transaction could offer Tesla shareholders a 30% to 35% premium. The bank emphasized overlapping engineering talent and AI infrastructure as logical drivers for the deal. At the same time, JPMorgan noted that Chinese regulatory approval could present a significant hurdle, given that China accounts for a notable portion of Tesla's revenue.
