Evernorth XRP treasury Explores Funding Route

Evernorth’s newly effective public-warrant registration has created a potential $132 million funding route for the XRP treasury company. Whether that capital successfully increases the amount of XRP held per share depends on how much additional token volume accompanies each new economic share issued.

Because issuing shares expands the overall ownership base, XRP holdings must grow at a faster rate than that base for the per-share ratio to improve. According to disclosures outlined in recent filings, the SEC notice recorded October 19 effectiveness for the prospectus.

The prospectus covers up to 11,499,992 Class A shares issuable through public warrants with an exercise price of $11.50. A full exercise for cash would generate $132,249,908 before accounting for costs, though management retains broad discretion over net proceeds for general corporate purposes.

Analyzing Financing Economics and Break-Even Thresholds

A conditional model utilizing disclosed closing capitalization and a 473 million-token treasury places the break-even allocation at roughly 70% of gross exercise cash based on an October 22 XRP price snapshot of $1.32. This illustrates the underlying financing economics rather than a verified current per-share figure.

Actual exercise receipts and subsequent token purchases will ultimately determine the per-share outcome. Furthermore, management notes that exercises remain unassured, and a cashless exercise where permitted would not deliver the $11.50 exercise price in actual cash.

The contractual exercise period for the warrants began following the October 9 business-combination closing. Cash exercise requires an effective, current registration statement and a current prospectus, making the October 19 effectiveness distinct from the initial contractual start date.

Ownership Structure and Performance Measures

Evernorth defines its primary performance measure as XRP attributable to the public parent divided by outstanding Class A and Class C shares. The corporate structure also encompasses outside ownership in the subsidiary Pathfinder Digital Assets, requiring the token count to match the economic ownership represented by the share count.

The prospectus establishes a closing basis of 23,638,882 Class A shares and 31,392,746 Class C shares, totaling 55,031,628 shares. It also identifies 22,953,128 Company Units held outside the public parent that can be exchanged into Class A shares.

Simply dividing all consolidated XRP by the publicly traded Class A count would overlook Class C shares and outside ownership, while adding subsidiary units held by the parent again would duplicate economic interests. Consistent denominators and ongoing reconciliations remain essential for tracking accurate per-share metrics.
